Acceptance of Terms

By accessing or using the Pardoro website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you should not use our website or engage our services.

Services Description

Pardoro provides IT consulting and software development services including but not limited to:

• AI automation and intelligent workflow design
• Custom software and web application development
• Business intelligence dashboards and reporting
• AI-powered chatbots and conversational interfaces
• Third-party system integrations and API development
• Business process consulting and optimization

Specific deliverables, timelines, and scope are defined in individual project agreements or statements of work executed between Pardoro and the client.

Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information relevant to your project.
• Deliver timely feedback, approvals, and decisions to keep projects on schedule.
• Grant reasonable access to systems, accounts, and data necessary for project completion.
• Designate a primary point of contact for project communications.
• Ensure that any materials you provide do not infringe on third-party rights.

Intellectual Property

Upon full payment, the client owns all custom deliverables created specifically for their project. Pardoro retains ownership of pre-existing intellectual property, proprietary tools, frameworks, libraries, and methodologies used in the course of providing services. Where pre-existing IP is incorporated into a deliverable, Pardoro grants the client a non-exclusive, perpetual license to use it within the scope of the delivered project.

Payment Terms

Projects are invoiced per project or per milestone as defined in the project agreement. Payment is due within 30 days of invoice date (Net 30) unless otherwise agreed upon in writing. Late payments may incur a fee of 1.5% per month on the outstanding balance. Pardoro reserves the right to pause work on projects with overdue invoices.

Limitation of Liability

To the maximum extent permitted by law, Pardoro shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services. Our total liability for any claim shall not exceed the amount paid by the client for the specific services giving rise to the claim. This limitation applies regardless of the legal theory under which the claim is made.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This includes business strategies, technical specifications, customer data, and financial information. Confidentiality obligations survive the termination of any engagement. A formal Non-Disclosure Agreement (NDA) is available upon request for projects requiring additional protection.

Termination

Either party may terminate an engagement with 30 days written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. Pardoro will deliver all completed work product and assist with a reasonable transition period.

Website Use

You agree not to misuse our website, including but not limited to: attempting to gain unauthorized access, interfering with site functionality, submitting false information through our contact form, or using automated systems to scrape content. We reserve the right to restrict access to our website at our discretion.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Iowa, without regard to its conflict of laws principles. Any disputes arising from these terms shall be resolved in the courts located in Polk County, Iowa.

Changes to These Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated revision date. Continued use of our website or services after changes constitutes acceptance of the updated terms.
